Terms of Service

1. About Us

These Terms of Service ("Terms") govern your use of the MATCHALAB website at matchalab.ai and any services provided by MAREE PROJECT MANAGEMENT - FZCO, trading as MATCHALAB, a company registered in the Dubai Free Zone, United Arab Emirates (hereinafter "we", "us", "the Company"). By accessing our website or engaging our services, you agree to be bound by these Terms.

2. Services

MATCHALAB provides digital marketing, AI solutions, web and mobile application development, content creation, branding, and photo & video production services. The specific deliverables, timelines, and pricing for each engagement are agreed upon in a separate project proposal or service agreement signed by both parties.

We reserve the right to decline any project at our sole discretion.

3. Proposals and Agreements

A project commences only upon receipt of a signed proposal or written confirmation and the applicable deposit payment. Verbal agreements or email discussions prior to a signed proposal do not constitute a binding commitment on either party.

4. Payment Terms

Unless otherwise stated in the project proposal:

• A non-refundable deposit of 50% of the total project value is required to commence work.
• The remaining balance is due upon project completion and before final delivery of files or launch.
• Monthly retainer services are billed in advance on the 1st of each month.
• Invoices are payable within 7 days of issue.
• Late payments may incur a 2% monthly surcharge on the outstanding balance.

All prices are in United States Dollars (USD) unless otherwise specified. Payments can be made via bank transfer or our online payment gateway (Stripe).

5. Intellectual Property

Upon receipt of full payment, the client receives full ownership of the final deliverables created specifically for their project (e.g., custom code, design assets, written content). We retain ownership of all preliminary concepts, drafts, and rejected options.

We reserve the right to display completed projects in our portfolio and marketing materials unless the client requests otherwise in writing at the time of signing.

Any third-party assets (stock photography, fonts, software licences) incorporated into deliverables remain subject to their respective licence terms. The client is responsible for obtaining any additional licences required for their intended use.

6. Client Responsibilities

The client agrees to:

• Provide all necessary content, assets, and access in a timely manner
• Designate a single point of contact with authority to approve decisions
• Provide feedback within agreed review periods (typically 5 business days)
• Not use our services for any unlawful or harmful purpose

Delays caused by the client may result in revised timelines and, if significant, additional charges.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement and not to disclose it to third parties without prior written consent, except as required by law.

8. Limitation of Liability

To the maximum extent permitted by applicable law, MATCHALAB shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with our services.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total amount paid by you to us in the three (3) months preceding the claim.

9. Termination

Either party may terminate a project engagement with 14 days' written notice. Upon termination, the client shall pay for all work completed up to the termination date at a pro-rata rate of the agreed project value. The non-refundable deposit will not be returned. 10. Website Use

You agree to use the MATCHALAB website for lawful purposes only. You must not:

• Attempt to gain unauthorised access to any part of the website or its servers
• Transmit any harmful, offensive, or disruptive content
• Scrape or copy website content without our prior written consent

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE, unless otherwise agreed in writing.

12. Changes to These Terms

We reserve the right to update these Terms at any time. The revised version will be posted on this page with an updated date. Continued use of our website or services after changes are posted constitutes acceptance of the new Terms.
